IMPORTANT – READ CAREFULLY:You are about to enter an agreement (“Agreement”) with the AmericanBankers Association (“ABA”, “we” or “us”) for access and use of the ABA’sRouting Number Lookup Service. Byaccessing and using this Site, you (“User”) agree to the terms and conditions(“Terms”) set forth below. The Servicepermits authorized Users to receive online access to individual ABA RoutingNumbers (the unique nine digit number used to identify the paying financialinstitution in a payment transaction) and related descriptive data(collectively “ABA RTN Data”) for the limited purposes set forth in these Terms.
These Terms do not alter in any way the terms of any otheragreements you may have with ABA for products, services or otherwise.
You will be asked toeither accept or decline the Terms by clicking “I Agree” or “I Decline.” TheService may not be accessed unless you agree to the Terms. By clicking “I Agree” you represent that:

<![if !supportLists]>·<![endif]>If you are accessing the Service on behalf ofany entity, you represent and warrant that you are authorized to accept theseTerms on such entity’s behalf and that such entity agrees to indemnify you andus in the event of you violate the Terms.
Modification of Terms
We reserve the right to modify these Terms from time totime at our sole discretion. We will provide you notice of any material changesto the Terms by posting such notice to this site. In the event you do not agree with anymodified Terms, your sole and exclusive remedy is to discontinue accessing theService. YOUR CONTINUED USE OF THE SERVICE NOW, ORFOLLOWING THE POSTING OF NOTICE OF ANY CHANGES IN THESE TERMS, WILL INDICATE YOURACCEPTANCE OF SUCH CHANGES OR MODIFICATIONS.
Modification to Service
Wereserve the right to temporarily or permanently modify or discontinue, andrestrict or block access to, the Service (or any part thereof) without notice. We will not be liable to you or any thirdparty for any such modification, suspension, or discontinuance.
License
TheABA and its licensors are the owners of all right, title and interest in and toABA Routing Number data, including the nine digit ABA Routing Number. The Official Routing Number Registrar,LexisNexis Risk Solutions, offers additional data products and delivery options for ABA RoutingNumbers and other forms of licenses for the use of ABA Routing Numbers andrelated data beyond the uses permitted by this agreement. TheService, including the ABA RTN data, is protected by copyright laws andinternational copyright treaties, as well as other intellectual property lawsand treaties. The Service is licensed,not sold.
Subjectto the Terms, ABA hereby grants User a non-exclusive, non-transferable andlimited license to access and use the Service.
Restrictions on Dissemination and Use
<![if !supportLists]>1.<![endif]>TheService is solely and exclusively for “Internal Use.” Internal Use means access and use of theService and ABA RTN Data by a User solely in connection with a paymenttransaction and to enable the User to furnish the ABA RTN Data necessary toexecute a payment transaction.
<![if !supportLists]>2.<![endif]>Usershall not sell, transfer, assign, publish, distribute, disseminate, orotherwise make available, or reproduce any ABA RTN Data or any derivation,revision, combination or portion of the data to any other person, organizationaffiliate or subsidiary. User is alsoprohibited from using the Service or the ABA RTN Data or any portion thereof toact in the capacity of a commercial service bureau to provide payment serviceson behalf of others.
<![if !supportLists]>3.<![endif]>Useris not entitled to incorporate or store any ABA RTN Data in its own internaldatabases or storage systems. A Userwishing to take such actions must contact the Official Registrar, LexisNexis Risk Solutions, fordetails about securing the appropriate license for such use and paying theappropriate fees.
Copyrights and Other Proprietary Rights
The ABA RTN Data is protected by copyright and other law and constitutesvaluable intellectual property of ABA and its licensors. No proprietary rights in or to the Service orABA RTN Data are being transferred to User.User agrees that misappropriation or misuse of the ABA RTN Data willcause serious and irreparable damage to ABA and to its licensors and that, insuch event, money damages will not constitute sufficient compensation to ABA orits licensors; consequently, User agrees that in the event of anymisappropriation or misuse, ABA shall have the right to obtain injunctiverelief.
Indemnification
You agree toindemnify, defend and hold us and any of our subsidiaries, affiliates,officers, directors, employees, independent contractors, agents, attorneys,suppliers and licensors and each of their respective successors and assigns(collectively, “Indemnified Person(s)”) harmless from and against any and allthird party claims, liability, loss, and expense (including damage awards,settlement amounts, and reasonable legal fees), brought against any IndemnifiedPerson(s), arising out of, related to or which may arise from: (i) your accessto and use or inability to use, the Service or (ii) your breach of any of theseTerms.
Disclaimer of Warranties and Limitation ofLiabilities
<![if !supportLists]>1.<![endif]>ROUTING NUMBER DATA HAS BEEN OBTAINED BYTHE OFFICIAL ROUTING NUMBER REGISTRAR FROM SOURCES BELIEVED TO BERELIABLE. HOWEVER, BECAUSE OF THEPOSSIBILITY OF HUMAN OR MECHANICAL ERROR BY THE REGISTRAR’S SOURCES, ABA OROTHERS, NEITHER ABA NOR ITS LICENSORS GUARANTEES THE ACCURACY, ADEQUACY ORCOMPLETENESS OF ANY DATA IN THE SERVICE AND IS NOT RESPONSIBLE FOR ANY ERRORSOR OMISSIONS OR FOR THE RESULTS OBTAINED FROM USE OF SUCH DATA. ABA MAKES NO EXPRESS OR IMPLIED WARRANTIES,INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR APARTICULAR PURPOSE OR USE. ALL SERVICESAND DATA ARE PROVIDED TO THE USER ON AN “AS IS” AND “AS AVAILABLE” BASIS.
<![if !supportLists]>2.<![endif]>TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLELAW, ABA, ITS LICENSORS OR THEIR RESPECTIVE AFFILIATES SHALL NOT BE LIABLE FORINCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (SUCH AS LOST PROFITS,LOSS OF REVENUE, AND LOSS BUSINESS OPPORTUNITIES), EVEN IF SUCH PARTIES HAVEBEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LIABILITY OF ABA AND ITS LICENSORS ANDTHEIR RESPECTIVE AFFILIATES IN ANY AND ALL CATEGORIES, WHETHER ARISING FROMCONTRACT, TORT, WARRANTY, NEGLIGENCE OR OTHERWISE SHALL, IN THE AGGREGATE, NOTEXCEED THE TOTAL AMOUNT OF FEES (IF ANY) PAID BY THE USER FOR ACCESS TO THESERVICE DURING THE MONTH IN WHICH SUCH CAUSE OF ACTION IS ALLEGED TO HAVEARISEN.
<![if !supportLists]>3.<![endif]>ABAshall not be liable to User for any default or delay resulting fromcirc*mstances beyond its control.
Term and Termination; Remedies for Breach
<![if !supportLists]>1.<![endif]>ABAmay terminate User’s access upon any breach of the Terms.
<![if !supportLists]>2.<![endif]>Inthe event of the User’s breach of the Terms, the ABA shall be entitled topreliminary and permanent injunctive relief to enforce the agreement.
Prohibited Conduct
You must not do,or attempt to do, any of the following, as reasonably determined by us, subjectto applicable law:
<![if !supportLists]>·<![endif]>Accessor use the Service in any way that is not in compliance with any applicablelocal, state, national or international law (including export laws), contracts,intellectual property rights or that constitutes the commission of a tort, orfor any purpose that is harmful or unintended (by us), or other than in fullcompliance with these Terms;
<![if !supportLists]>·<![endif]>Alterinformation on or obtained from the Service;
<![if !supportLists]>·<![endif]>Useany robot, spider, scraper or other automated means or interface not providedby us to access the Service or extract data or gather or use information, suchas email addresses, available from the Service or transmit any unsolicitedadvertising, “junk mail,” “spam,” or “chain letters”;
<![if !supportLists]>·<![endif]>Frameany part of the Service, or link to the Service, or otherwise make it look likeyou have a relationship to us or that we have endorsed you for any purpose;
<![if !supportLists]>·<![endif]>Impersonateor misrepresent your affiliation with any person or entity;
<![if !supportLists]>·<![endif]>Reverseengineer any aspect of the Service or do anything that might discover sourcecode, or bypass or circumvent measures employed to prevent or limit access toany area, content or code of the Service;
<![if !supportLists]>·<![endif]>Sendto or otherwise impact us or the Service (or anything or anyone else) withharmful, illegal, deceptive or disruptive code such as a virus, “malware,”“spyware,” “adware” or other code that could adversely impact the Service orany recipient; or
<![if !supportLists]>·<![endif]>Takeany action which might impose a significant burden (as determined by us) on theSite’s infrastructure or computer systems, or otherwise interfere with theordinary operation of the Site.

Except as otherwise provided in theseTerms, we will provide users notice by posting on the Site. You must check theSite for notices, and you will be considered to have received a notice when itis made available by posting on the Site.
Additional Terms
<![if !supportLists]>·<![endif]>No Agency; No Third Party Beneficiary These Terms do not create any agency,partnership, joint venture, employee-employer or franchisor-franchiseerelationship. Except for the Indemnified Persons, there are no third partybeneficiaries of these Terms.
<![if !supportLists]>·<![endif]>Severance If any part of the Terms are held by acourt of competent jurisdiction to be invalid or unenforceable, the invalid orunenforceable part will be given effect to the greatest extent possible and theremainder will remain in full effect, provided that the allocation of risksdescribed in these Terms is given effect to the fullest extent possible.
<![if !supportLists]>·<![endif]>Assignment These Terms are personal to you and youmay not transfer, assign or delegate them to anyone without our express writtenpermission. Any attempt by you to assign, transfer or delegate these Termswithout our express written permission will be null and void. We have the rightto transfer, assign and delegate these Terms to one or more third partieswithout your permission.
<![if !supportLists]>·<![endif]>Jurisdiction;Choice of Law; Export Limitations This Service is controlled by us from ouroffices in the United States of America. If you access the Service fromlocations outside the U.S., you do so at your own risk and you are responsiblefor compliance with applicable local laws. You may not use or export anythingfrom the Service in violation of U.S. export laws and regulations or theseTerms. These Terms are governed by and construed in accordance with the laws of theDistrict of Columbia,U.S.A., without regard to any conflicts of laws principles that would result inthe application of the law of a different jurisdiction. You and we submit tothe exclusive personal jurisdiction and venue of the local and federal courtslocated within the District of Columbia.
<![if !supportLists]>·<![endif]>Limitations on Actions Anyaction concerning any dispute with respect to the Service must be commencedwithin one (1) year after the cause of the dispute arises, or the cause ofaction is barred.
<![if !supportLists]>·<![endif]>Interpretation The paragraph headings in these Terms areincluded to help make these Terms easier to read and have no binding effect. Asused in these Terms, the words “include” and “including” are meant to beillustrative and not exhaustive.
<![if !supportLists]>·<![endif]>Entire Agreement These Terms comprise the entire agreementbetween you and us with respect to the use of the Service (the “EntireAgreement”) and supersede all contemporaneous and prior agreements between theparties regarding the subject matter contained herein, and neither party hasrelied on any representations made by the other that are not expressly setforth in the Entire Agreement.
<![if !supportLists]>·<![endif]>No Waiver The failure to exercise or enforce anyright or provision of these Terms, including any failure to act with respect toa breach, will not constitute a waiver of such right or provision or the rightto act with respect to subsequent or similar breaches.
